1. Terms of Use

1.1These Terms of Use apply to Your use of the Services. By accessing or using the Services, You agree to be bound by them.
1.2Terms may be revised with at least 30 days' notice, unless required sooner by law. Notice may be displayed on the Website or emailed. Continued use constitutes acceptance. Subscriptions can be cancelled if amendments are not agreed to.
1.4Capitalised terms are defined in the Dictionary section (clause 17).

2. Access to Services

2.1 General

2.1.1You must pay for the Services as specified in the Terms and on the Website or application.
2.1.2Subject to payment, PropOrdo grants a limited, non-exclusive, non-transferable right to access and use the Services strictly for internal business purposes.

2.2 Registration

2.2.1Registration details must be true and accurate. Changes must be notified promptly. Documentation requests must be complied with.
2.2.2An email with an account activation link and password entry setup will be sent upon registration.
2.2.3Passwords must be kept confidential. Immediate reset is required if lost, forgotten, or unauthorized use is suspected.
2.2.4Actions taken by any person using the user password are treated as authorised. PropOrdo is not liable for losses if a complex password and security features (MFA, alerts) were not utilized.

2.3 Trial

2.3.1A no-obligation, time-limited trial is permitted under specific trial usage conditions.
2.3.2Payment details must be added to continue after the trial. Invoicing begins on the day details are entered. Accounts can be deleted if trial is not continued.

2.4 Invited Users

2.4.1Authentication Credentials may be requested to grant access to Invited Users.
2.4.2Access via an Authorised System must include a tracking mechanism to identify the date, time, and identity of the Invited User.
2.4.3Authentication Credentials may be changed or reset with prior written notice, unless done in response to a suspected security incident.
2.4.4The subscriber determines access levels, is responsible for all Invited User actions, must resolve disputes with them, and must secure necessary privacy consents. Credentials cannot be shared between individuals, must be checked regularly, and must be disabled immediately if an employee leaves or credentials are compromised.
2.4.5Third-party technology goods or services developers may not be Invited Users without explicit written consent.

2.5 General restrictions

2.5.1Users must not provide inaccurate info, violate laws, distribute malicious code/viruses, collect data about other users, send spam, breach industry regulations, route emergency calls, or engage in improper conduct.

2.6 Support

2.6.1Access may be impacted by maintenance or network capacity. PropOrdo will attempt to resolve errors under its control in a timely manner.
2.6.2Users must troubleshoot internally before emailing support at [email protected].
2.6.3Usage may be monitored. Support excludes frivolous/duplicate requests, reconciliation issues covered in help articles, or requests acting as specific training.
2.6.4Handling excluded support requests is at PropOrdo's discretion and may incur extra fees.
2.6.5Access can be suspended or cancelled immediately if a user is abusive or improper towards staff.
2.6.6Temporary suspension is permitted for security, maintenance, or technical reasons. If a non-user-caused suspension lasts more than 1 day in a month, a pro-rated refund/credit may be sought.

2.7 Variation

2.7.1Services follow a SaaS model; features and functionalities may change. 30 days' notice will be given unless adjustments are urgent for security/regulatory compliance. Disgruntled users may cancel subscriptions.

3. Subscription Fees

3.1 Payment

3.1.1Fees are in AUD, inclusive of GST, payable monthly in advance, and non-refundable unless specified.
3.1.2Credit card surcharges may apply and will be notified during entry.
3.1.3Failed card payments will trigger automatic retries over 1 week, after which access may be suspended or cancelled.
3.1.4A fee applies if a payment is dishonoured or charged back and left unresolved with the bank.
3.1.5Disputed amounts must have their undisputed portion paid on time while parties negotiate in good faith.

3.2 Invoices

3.2.1Invoices are issued monthly after successful payment processing for the upcoming billing cycle.
3.2.2Invoices are sent to the billing contact email and hosted in the platform's subscription tab.

3.3 Changing Subscription Types

3.3.1Subscription type change requests can be made at any time via the service portal.
3.3.2Tier increases or changes must be done in advance; adjustments take effect immediately.
3.3.3Fees for the month of the change will be pro-rated up or down based on the modification date.

3.4 Special Pricing

3.4.1Discounts or special pricing may be offered based on property volumes or minimum contract terms, contingent on on-time payments.
3.4.2Additional terms governing special pricing are incorporated directly into these overall Terms of Use.
3.4.3Missed payments revoke special pricing eligibility; full fees will be back-billed or services suspended.

3.5 Changes to Subscription Fees

3.5.1Fees can be altered with at least 30 days' notice. Price reductions do not require a minimum notice timeline.
3.5.2Cancellations must happen before the billing period of the increase to avoid being charged the higher rate.

4. Your Content

4.1.1Content must not infringe third-party rights, be defamatory/offensive, contain illegal content, solicit money, mislead, provide professional advice, or harm platform integrity.
4.1.2Users retain ownership of their content, but grant PropOrdo a non-exclusive, worldwide, royalty-free, perpetual license to use, copy, and modify it to provide/improve services, train models and algorithms, and operate the business.
4.1.3Users indemnify PropOrdo against third-party IP infringement claims stemming from platform use of their content, pro-rated by any PropOrdo contribution to the claim.
4.1.4PropOrdo can review and remove content violating terms upon notice. Disputed content can be re-uploaded post-resolution.
4.1.5PropOrdo owns all aggregated, de-identified statistical data derived from user content and usage, agreeing not to reverse-engineer it into Personal Information.
4.1.6Data portfolio migrations from other software platforms receive reasonable help, but accuracy, completeness, and legal rights remain user responsibilities.

5. Infringing or objectionable content

5.1Objectionable or copyright-infringing content issues must be reported with detailed particulars to [email protected].

6. Suspending or cancelling access

6.1Subscriptions can be cancelled through the interface at any time for convenience, taking effect at the end of the current billing cycle.
6.2PropOrdo can cancel subscriptions with 60 days' notice if continuing is commercially unviable or the service is discontinued.
6.3Breaches of terms allow immediate suspension/cancellation if left unremedied 10 days after formal notice.
6.4Following cancellation, data is retained with read-only access for extraction for at least 30 days. PropOrdo cannot perform the extraction for the user.

7. Accuracy of information

7.1Services are provided in good faith. PropOrdo does not warrant absolute accuracy, completeness, timeliness, or fitness for purpose, and denies liability for reliance losses.
7.2Services are not a substitute for professional legal, financial, or accounting advice. Compliance with local real estate laws remains the user's sole duty.
7.3Services do not constitute personal or general advice under the Corporations Act 2001 (Cth).
7.4Third-Party Data integrated into services (e.g., Google/Bing Maps, Xero) cannot be guaranteed accurate by PropOrdo.
7.5Third-party data ignores individual financial needs; users must seek independent expert advice before making transactions based on it.
7.6Monitor variations mean exact display color accuracy of online content cannot be guaranteed.
7.7Materials and views uploaded by other platform users do not represent PropOrdo.

8. Specific warnings and disclaimers

8.1Services must be used for lawful purposes only.
8.2Users must implement up-to-date anti-virus, anti-spyware, and firewalls to mitigate operational cyber risks.
8.3PropOrdo accepts no responsibility for computer system interference or damage arising from platform access or linked sites.

9. Limited warranties and liability

9.1All non-explicitly stated implied guarantees, warranties, or representations are excluded to the legal maximum.
9.2There is no guarantee against service errors, viruses, or data corruption occurring outside company networks (e.g., over the internet).
9.3Nothing excludes statutory rights under Australian Consumer Law that cannot be legally limited.
9.4If a Non-Excludable Provision is breached, remedies are limited at PropOrdo's option to re-supplying goods/services or paying for re-supply costs.
9.5Maximum aggregate liability is capped at the total subscription fees paid during the 12 months preceding the claim. Content warranties and indemnities are uncapped.
9.6Neither party is liable for special, indirect, consequential, punitive damages, or lost profits, revenue, or corrupted data.
9.7Liability drops proportionally if the other party's acts or omissions contributed to the damage.
9.8Both parties are legally obligated to take reasonable steps to mitigate their losses.
9.9Exclusions and caps apply whether claims arise in contract, tort (including negligence), equity, statute, or indemnity.

10. Linking to this Website

10.1Text links to the site are encouraged, but using the company logo or trademarks requires explicit written consent.
10.2Framing the website or misrepresenting ownership of the services is strictly prohibited.
10.3Links must be dismantled immediately if formal objections are raised by PropOrdo.

11. Links and advertisements

11.1The system contains external hyperlinks and embedded advertising tracking elements.
11.2PropOrdo does not review, monitor, or accept liability for off-site webpage accuracy or content.
11.3Content accuracy and liability for advertisements rest solely with the individual advertisers.
11.4Inclusion of ads does not imply endorsement or recommendation by PropOrdo.

12. Intellectual property rights

12.1Intellectual Property Rights are fully protected under Australian legal frameworks.
12.2PropOrdo and its licensors retain all right, title, and interest. No IP rights transfer to users.
12.3Copying or using service data for alternative causes requires written approval via [email protected].
12.4Users must not reverse-engineer source code, sell/sub-license access, or use platform insight to build competing goods/services.
12.5Attribution statements must accompany allowed trademark uses. Trademarks cannot be integrated into user branding or used disparagingly.
12.6Permitted usages instantly terminate upon account suspension or cancellation.
12.7Users grant an irrevocable, perpetual, royalty-free license for PropOrdo to implement any feedback or feature suggestions.
12.8Prior NDAs are terminated upon accepting these terms; suggestions/feedback are explicitly excluded from confidentiality protections.
12.9PropOrdo indemnifies users against third-party claims that platform use infringes their IP, reduced by the user's contributory actions.

13. Privacy and security

13.1Personal Information may be submitted during standard product usage workflows.
13.2Users must ensure they have authorization/consent under the Privacy Act to supply information, granting PropOrdo processing rights.
13.3Data is stored natively in Australia. Offshore transfers to service providers align strictly with the corporate privacy policy using industry-standard security measures.
13.4Anonymized user behavior data and Aggregated Data can be shared with service providers for system optimization.
13.5Circumventing security frameworks, impairing network functions, or attempting unauthorized data access is prohibited.
13.6High-volume API calls approaching hardware capacity limits may see reasonable transaction caps applied following good-faith moderation discussions.
13.7Users must instantly alert PropOrdo of known or suspected Data Breaches and assist in Privacy Act compliance investigations.
13.8Before notifying individuals of a data breach, users must discuss the plan in good faith and follow PropOrdo's directions.
13.9If a user fails to fulfill mandatory legal notification actions within Privacy Act windows, PropOrdo reserves the right to fulfill notifications on their behalf.

14. Confidentiality

14.1Receiving parties must maintain strict confidentiality, except via consent, legal compulsion, or to staff/advisors on a need-to-know basis.
14.2Independent agreements formed directly between PropOrdo and a user's clients (owners/tenants) make them independent customers; their data is not user confidential info.
14.3Parties must not publish false, libelous, or disparaging statements regarding each other's products, services, or personnel.
14.4Breaches of this confidentiality section are explicitly defined as incapable of remedy.
14.5Confidentiality requirements survive the expiration or termination of the overarching agreement.

15. Force Majeure

15.1Delays caused by circumstances beyond reasonable control excuse performance timelines. This explicitly excludes invoice payment obligations.

16. General

16.1Severability: If a part is deemed unenforceable, it is modified to the maximum allowable extent while the rest remains active.
16.2Governing Law: Governed by the laws of Victoria, Australia. Users submit to the exclusive jurisdiction of Victoria courts.
16.3Entire Agreement: Supersedes all previous communications, while preserving un-excludable protections under Australian Consumer Law.
16.4Franchisees: Connected franchise group business data may be shared with franchisors via reports; referral revenue sharing loops may exist.
16.5Third-Party Integrations: Activating marketplace app links permits content sharing. Marketplace integration revenue shares may be received by PropOrdo.
16.6Electronic Communication: All operational elements, billing, and official legal notices are handled electronically.
16.7Survival: Section 4 (Content) and other naturally persistent parameters outlive active subscription lifetimes.
16.8No Waiver: Delays or failures to enforce a clause do not waive future rights to enforce terms.
16.9Interpretation: The word 'including' is explicitly not a term of limitation.

17. Dictionary / Definitions

  • Australian Consumer Law:Schedule 2 of the Competition and Consumer Act 2010 (Cth).
  • Authentication Credential:Username, password, or authentication tokens used by Invited Users to enter.
  • Billing Period:Monthly advance billing window active from registration anniversary dates.
  • Confidential Information:Intrinsically secret or explicitly designated details, excluding public domain data or independently generated details.
  • Data Breach:Unauthorized access, data loss, or disclosure involving data in a user account.
  • Intellectual Property Rights:Global statutory or equity protections including patents, copyrights, trademarks, secrets, and designs.
  • Invited User:Personnel, contractors, or clients authorized by the subscriber to access services.
  • Loyalty Agreement:Contract with a franchisor delivering group benefits for network platform utilization.
  • Non-Excludable Provision:Mandatory legal parameters implied via the Australian Consumer Law.
  • Personal Information:Has the meaning assigned within the active Privacy Act.
  • Privacy Act:The Privacy Act 1988 (Cth).
  • Services:Online property tools made available through the corporate website and applications.
  • Special Pricing:Discounted rate adjustments tied to volume or long-term operational guarantees.
  • Subscribed Property:An active, unarchived rental listing stored inside the user platform instance.
  • Subscriber:The core entity or individual registering the foundational account portal.
  • Subscription Fee:The recurrent monthly fee listed on the pricing website, subject to clause 3.5 modifications.
  • Subscription Types:Variable access profiles including paid tiers, trial options, and feature-capped structures.
  • Third Party Data:Information integrated into the services sourced from exterior entities (e.g., Google Maps, Xero).
  • Website:The propordo.com portal and subdomains (app.propordo.com).
  • You / Your:The subscriber and/or an Invited User.
  • Your Content:All user-supplied portfolio materials and operational data inputs.
